Article 1 — Nature of the service
1.1 Carousel Bot (“the Software” or “the Service”) is an automated grid-trading desktop tool for Mac and Windows, licensed to members on a prepaid subscription basis (monthly, quarterly or yearly).
1.2 The Service is provided by the Service Operator (“the Operator”), who collects subscription fees directly, without a third-party payment platform.
1.3 The legal nature of the Service is software-as-a-service (SaaS). It does not constitute, and is expressly declared not to be: investment consulting, investment advice, financial planning, managed trading of securities or crypto assets, a training course, or academic research.
1.4 The Service provides “tool” functions only. It does not make trading decisions for members, recommend assets, or guarantee profits. All trading decisions, parameter settings and risks are the member’s own independent responsibility.
1.5 The Service charges a fixed subscription fee unrelated to the member’s trading results. The Operator takes no share of profits.
Article 2 — Plans and payment
2.1 The Service offers three plans, each payable monthly, quarterly or yearly:
| Plan | Monthly | Quarterly | Yearly | Includes |
|---|---|---|---|---|
| Starter | $10 | $27 (10% off) | $100 (pay for 10 months) | Spot grids, up to 1 grid |
| Pro | $50 | $135 (10% off) | $500 (pay for 10 months) | Spot grids, up to 3 grids |
| Max | $1,000 | $3,000 | $12,000 | Spot grids, up to 10 grids |
Prices are in USDT (1 USDT is treated as 1 US dollar). The Max plan has no quarterly or yearly discount. Actual feature limits are as shown in the Software.
2.2 Payment method: members transfer payment to the Operator’s receiving address shown on the Software’s payment screen. Currently accepted:
- USDT or USDC on the Arbitrum One network
- USDT on the TRON (TRC20) network
The Operator may change the accepted networks and tokens and will announce changes on the payment screen.
2.3 Amount received: members must ensure that the amount actually received equals the amount due; transfer fees are paid by the member. Some exchanges deduct the fee from the amount sent, so members should check the “amount received” shown by the exchange before submitting.
- If the amount received is more than 0.1 USDT below the amount due, the payment is treated as incomplete and the plan activates only after the difference is paid.
- If the amount received is more than the amount due, the plan activates as normal and the excess is not refunded.
2.4 Confirmation and activation: the system activates the plan automatically once the payment is confirmed on the blockchain, usually within a few minutes. If the system cannot automatically identify the payer (for example, several orders of the same amount at the same time), the member must provide the transfer’s “blockchain transaction ID” on the payment screen. An order expires if payment is not completed within 24 hours of its creation.
2.5 Member’s transfer responsibility: losses caused by any of the following are borne by the member; the Operator bears no responsibility whatsoever and has no obligation to help recover funds:
- Choosing the wrong network, or sending to any address other than the one shown on the payment screen
- Sending a token the Service does not accept
- Using an exchange’s “internal transfer” instead of an on-chain transfer
- Entering a wrong email address that prevents login (the Operator may, at its discretion, help correct the account if the member provides proof of payment; such help does not create any responsibility or obligation for the Operator)
2.6 No automatic charges, renewal and upgrades:
- The Service never charges automatically. Subscriptions do not renew automatically when they expire; members must renew themselves.
- Early renewal: the new period is added after the current expiry date, so no remaining days are lost.
- Upgrading or changing plans: takes effect immediately; the remaining value of the current plan is converted into days of the new plan at the daily price (monthly price ÷ 30).
2.7 Expiry reminders and status after expiry:
- The Software reminds members 7 days, 3 days and 1 day before expiry; members who set up Telegram notifications in the Software are also reminded via Telegram.
- After the subscription expires, the Software stops placing new orders (both buy and sell orders) but does not cancel the member’s existing orders on the exchange. Members can still open the Software and view their data, but cannot start or create grids.
- After the member renews and the system confirms payment, grids that stopped because of expiry resume automatically.
- While expired, the member’s existing orders may still fill, and the Software will not automatically place the corresponding sell orders; market risk during this period is borne by the member (see the Risk Disclosure).
2.8 Members bear any taxes that may apply where they live, as well as fees charged by exchanges and blockchain networks.
2.9 Payment means acceptance: by completing payment, the member is deemed to have read, understood and agreed to all of these Terms of Service, the Member Risk Disclosure and the Privacy Policy.
Article 3 — License
3.1 During the subscription period, the Operator grants the member a personal, non-exclusive, non-transferable, non-sublicensable right to use the Software.
3.2 Members must not:
- Copy, resell, rent, lend or transfer the Software to any third party
- Reverse engineer, decompile, crack or attempt to obtain the Software’s source code
- Remove or modify copyright notices, trademarks or other marks in the Software
- Use the Software for illegal activities (including but not limited to money laundering, fraud and market manipulation)
- Use the Software in, or for persons or regions subject to, US OFAC sanctions
- Pay the subscription fee with funds of unknown origin, funds connected to crime, or sanctioned funds
- Use the Software in any way that violates an exchange’s terms of service (including Pionex, Hyperliquid, OKX, etc.)
3.3 Each subscription account is limited to 1 device that the member owns or lawfully controls. To change devices, log out on the original device first to release it; if the original device can no longer be used, contact the Operator by email for help.
3.4 After the subscription expires, the Software stops placing new orders as described in Article 2.7. Members who do not renew should handle their existing orders on the exchange themselves and remove the installed Software and related data.
Article 4 — Updates and maintenance
4.1 The Operator releases software updates from time to time, including bug fixes, security improvements, new features and support for new exchanges.
4.2 Members should install updates promptly. The Operator is not responsible for problems caused by a member refusing or delaying updates.
4.3 The Operator reserves the right to:
- Change, add or remove Software features (members are notified 30 days before major feature changes)
- Suspend the Service for maintenance (scheduled outside busy trading times where possible)
- Suspend or adjust support for specific exchanges for legal, compliance or technical reasons
Article 5 — No-refund policy
5.1 All payments are non-refundable: subscription fees (whether for Starter, Pro or Max, and whether monthly, quarterly or yearly) are not refundable once paid. Members should evaluate and confirm their plan, period, payment network and receiving address before paying.
5.2 No refund for unused time: no fees are refunded if a member stops using the Software, stops early, or does not use up a paid period; the member may use the Software until the end of that period.
5.3 No refund of overpayment: if the amount received exceeds the amount due, the plan activates as normal and the excess is not refunded.
5.4 No refund for transfer errors: losses arising from the situations listed in Article 2.5 are borne by the member.
5.5 This no-refund policy does not affect any rights a member has under mandatory local consumer protection laws (where applicable).
Article 6 — Termination
6.1 Termination by the member: the Service never charges automatically; if the member does not renew, the subscription ends at expiry. Termination does not give rise to any refund.
6.2 Termination by the Operator: the Operator may terminate a member’s subscription unilaterally (without refund) if the member:
- Violates any item of Article 3.2
- Engages in illegal activities
- Maliciously spreads Software bugs instead of reporting them to the Operator
- Harasses, threatens or defames the Operator or other members
6.3 Termination due to force majeure: if force majeure (natural disasters, war, government bans, hacking, etc.) makes it impossible to continue the Service, the Operator may terminate it, and fees already paid are not refunded (unless mandatory local consumer protection law provides otherwise, in which case local law applies).
6.4 Regardless of the reason for termination, the Software never automatically cancels the member’s orders on the exchange; the member must handle them.
Article 7 — Intellectual property
7.1 The Software, its source code, UI design, documentation and trademarks (including the names “旋轉木馬” and “Carousel Bot” and the logo) belong to the Operator and are protected by copyright, trademark and related laws.
7.2 Trade records, operation logs and settings generated through the Software are the member’s personal data; the Operator handles them only as needed for subscription verification and technical support (see the Privacy Policy).
7.3 If a member offers suggestions or feedback, the Operator may adopt them or not, without paying compensation or crediting the member.
Article 8 — Disclaimer and limitation of liability
8.1 The Software is provided “AS IS”. The Operator makes no express or implied warranty that:
- The Software is error-free, uninterrupted or permanently available
- The Software works perfectly on every operating system version and hardware environment
- Trading through the Software will be profitable
- The Software will remain compatible with all exchanges forever
8.2 Limitation of liability: the Operator’s total liability for any direct, indirect, incidental or consequential loss is capped at the total subscription fees the member actually paid in the most recent 12 months. The following losses are not compensated at all:
- Any loss from the member’s trading (principal, opportunity cost, expected profits)
- Losses caused by exchanges, blockchains, stablecoins or third-party services
- Losses caused by the member’s own operating errors, misjudgments or transfer errors
- Any loss or opportunity cost from new orders not being placed while the subscription is expired
- Service interruptions or losses caused by changes in laws or policies
- Losses caused by force majeure
8.3 For detailed risks, see the “Member Risk Disclosure”, which members must read and accept before subscribing.
Article 9 — Governing law and disputes
9.1 These Terms of Service are governed by the laws of the Republic of China (Taiwan).
9.2 Disputes arising from these terms or the relationship between the member and the Operator shall first be resolved through negotiation. If negotiation fails, both parties agree that the Taiwan Taipei District Court shall be the court of first instance.
9.3 If the law of the member’s place of residence mandatorily requires the application of local law or jurisdiction, that mandatory provision prevails.
Article 10 — Privacy
10.1 How members’ personal data is collected, used and protected is described in the “Carousel Bot Privacy Policy”.
10.2 By completing payment or using the Service, the member is deemed to agree to that Privacy Policy.
Article 11 — Changes to these terms
11.1 The Operator may revise these terms at any time. Members are notified of major revisions 30 days before they take effect, via an in-app notice or email.
11.2 Members who do not agree with a revision may choose not to renew. Continuing to use the Service after a revision takes effect means accepting the revised terms.
Article 12 — Entire agreement and contact
12.1 These terms, together with the “Member Risk Disclosure” and the “Privacy Policy”, form the entire agreement between the member and the Operator.
12.2 If any provision is held invalid by law or a court, the remaining provisions remain in effect.
